AGREEMENT ON HANDOVER AND SETTLEMENT ON INTLE.GOODS

港貨物交接和費用結算事宜達成如下協(xié)議：
With thepurpose of speeding up the dispersing at airport (Intl.Inbound/Outbound cargo, and hereafter referred to as “Cargo”), theParties reach an agreement, after negotiation with each otherequally, on cargo handover and settlement as follows:
一．總則ARTICLE 1 General
1.1甲方作為貨物承運人（國際航空公司）的貨物處理代理人，接受承運人的委托，在浦東國際機場內，處理承運人承運的進出港貨物。
Party A isauthorized by the Carrier (Intl. Airlines) as the cargo handlingagent at Pudong International Airport to handle Carrier’s inbound/outboundcargo.
1.2乙方同意在本協(xié)議有效期內同甲方所進行的一切貨郵航空運輸操作活動中，將自覺遵守國家有關法律、法規(guī)，以及中國民航局(CAAC)、國際航協(xié)(IATA)有關規(guī)章及相關標準。同時，乙方自覺遵守甲方旨在加強安全管理所不時制訂或修改的所有操作流程和管理規(guī)定。若有任何違反并造成相應后果的，將承擔全部法律責任并且賠償貴司全部的經(jīng)濟損失。
Within theeffective term of this agreement, Party B agrees to conscientiouslycomply with related laws and regulations of China, rules andstandards of CAAC & IATA for all cargo & mail operation inParty A’s facility. And Party B will also obey all operationprocedures and related regulations issued and modified by Party Afrom time to time. If Party B had any violation and caused relevantconsequence, Party B would take all legal responsibility andindemnity all economic loss of Party A.
1.3本協(xié)議二、三項中所涉及的流程及雙方責任服從海關的規(guī)定并根據(jù)其變化而調整。
Theprocedures and duties for two Parties mentioned in ARTICLE 2 andARTICLE 3 should obey Customs Regulations and be subject to Customsprocedure changes and new requirements.
二．出港貨物交接ARTICLE 2 Outbound Handover
2.1雙方同意根據(jù)實際需要配備人員設備，保證貨物交接順利進行，乙方負責將出港貨物送到甲方貨運站，提交海關報關放行的航空貨運單和貨物交接清單。
TheParties agree to arrange manpower and equipment according to actualneeds to ensure cargo hand-over smoothly. Party B is responsiblefor transporting cargo to Party A and submitting the customscleared AWB and the Delivery List (D/L).
2.2由乙方負責打板裝箱的貨物，必須滿足民航安檢規(guī)定“航班起飛前24小時入庫”，否則必須經(jīng)安檢檢查方能收貨。甲方對貨物內容的短缺和損壞及貨物受潮后產(chǎn)生的損失不負責任。木質包裝至美、加等國的貨物需提供熏蒸證明。
The cargobuilt-up by Party B must be put into the Party A’s warehouse inadvance and the regulation, “24 hours prior to departure” issued bythe CAAC, will be applicable. Otherwise security check must bedone. Party A will not be liable for short in contents, loss anddamage arising from damp. If cargo exporting to USA and Canada ispacked with wood, Party B should provide the fumigationcertificate.
2.3由甲方負責打板裝箱的貨物，乙方必須遵守第2.7條規(guī)定的截止交貨時間，甲方按交接清單現(xiàn)場查驗，核收航空貨運單和貨物，乙方負責將貨物搬運上安檢入口，甲方負責在安檢出口處接收，安檢過程中發(fā)生異常情況的貨物或發(fā)現(xiàn)不合規(guī)格貨物有可能使內件短缺或損毀等不正常情況，甲方可以拒收，交乙方處理，若發(fā)現(xiàn)貨物交接清單與實物不符，由乙方負責更正后交甲方。
Party Bshould comply with the Cut-off time stipulated in Item 2.7 to handover the loose cargo to Party A which will be responsible forbuild-up. Party A should check the AWB and cargo at spot inaccordance with the D/L. Party B should move the cargo to X-Rayentrance and Party A receives the cargo at X-Ray exit. Party A hasthe right to refuse accepting cargo and returning it to Party B incase that Party A find out some irregularities or cargo not beingup to standard maybe potentially causes the contents short ordamaged in the process of security check. Party B should be liablefor modifying all documents and then do redelivery provided thatthe D/L is inconsistent with physical cargo.
2.4甲方有權對貨物進行實體檢查，對不符合運輸要求或存在潛在危險的貨物，甲方可以拒絕收貨。乙方在交運甲方貨物中由于包裝不妥或其性質發(fā)生變化而腐蝕污染其他貨物，乙方應承擔由此產(chǎn)生的一切責任和損失。貨物體積、重量超出噸控預定，導致發(fā)運延誤，甲方不承擔責任。
Party Ahas the right to inspect the goods and refuse accepting the cargoprovided that the package of cargo does not conform to therequirements for transportation or potential danger exists. In casethat the cargo delivered by Party B corrodes and pollutes othercargo because of inappropriate package or alteration of the natureof cargo, Party B should responsible for all consequences arisingtherefrom. In case that the weight and volume of shipment exceedthe tonnage control, Party A has no responsibility for the delayarising from it.
2.5貨物清點完畢，甲方在交接單上簽字確認收訖，加蓋收貨時間標記，并簽發(fā)出港貨物交接清單，雙方各留一份。
Party Ashould sign on the D/L for acceptance confirmation and stamp timeon it, and then issue the D/L for outbound cargo after delivery iscompleted.
2.6甲方實測貨物重量和體積與貨運單不符，乙方應按海關和承運航空公司有關規(guī)定更改貨運單。
In case that the cubage and weight on AWB is discrepant with thedata measured actually, Party B should modify the AWB according tothe concerned regulations issued by the Customs andCarrier.
2.7乙方應遵守甲方與其所代理的航空公司確定的截止交貨時間（Cut-off Time），乙方如超出規(guī)定時間交貨，由此造成的延誤發(fā)運，甲方不承擔任何責任。
Party Bshould obey the Cut-off time confirmed by Party A and the Carrier.Party A will not take on responsibility for delay in case thatParty B hands over cargo later than the Cut-off time.
三．進港貨物交接ARTICLE 3 Inbound Delivery
3.1甲方應在貨物實際到達其貨運站后，在與航空公司商定的時間內完成貨物的分解并通知乙方。凡目的站為上海浦東，航空貨運單上的收貨人為乙方或甲方認定可由乙方代理交付的貨物，均由乙方領收并代為交付與收貨人。根據(jù)海關集中駁運的原則，從甲方倉庫到乙方倉庫的運輸服務由同甲方簽約的第三方運輸公司通過海關監(jiān)管卡車來實現(xiàn)。
Party A should break down goods within the time as mutually agreedwith the Carrier and inform Party B after the goods actually arriveat Party A’s terminal. Party B can pick up and hand over toconsignees for those shipments with PVG as destination and Party Bas receiver or maintained by Party A that Party B may do thepickup. According to the Customs’ principle of “centralizedtransportation”, the transportation service from Party A’swarehouse to Party B’s warehouse will be realized by the thirdparty transportation company contracted with Party A via Customsbonded trucks.
3.2雙方同意用現(xiàn)場清點交接的方式交接航空貨運單和貨物，由甲方先理出航空貨運單，按航空貨運單制作交接清單，并將貨物移至交接區(qū)域；乙方按交接清單查驗，核收航空貨運單和貨物，在交接單上簽字確認收訖后監(jiān)督貨物裝車。
The Parties agree to do the hand-over of AWB and goods on site.Party A should put AWB in proper order, make Delivery List and movethe goods to handover area. Party B will check and accept goods andAWB according to Delivery List, then sign on Delivery List aspickup confirmation and supervise goods loading ontotrucks.
3.3乙方應指派專人在甲方貨運站進行進港貨物交接并核對航空貨運單，交接清單與實際貨物是否相符。如發(fā)現(xiàn)有破損，短缺等情況應和甲方共同對貨物進行檢查，作好事故記錄并經(jīng)雙方簽字認可。
Party B should appoint and send dedicated staff to do the handoverand check of inbound goods & AWB against Delivery List. If anyirregularities like goods damage and shortage etc take place, theParties should check the goods and make records with signaturesfrom two sides.
3.4甲方同意就交接前貨物的丟失、短缺、毀壞、潮濕等情況與承運人協(xié)商，分清職責，由過失方承擔由此產(chǎn)生的經(jīng)濟損失；乙方同意對交接后的丟失、短缺、破損、毀壞、潮濕及交付錯誤等負責，并承擔由此產(chǎn)生的一切經(jīng)濟損失。
For the missing goods, shortage, damage and damp etc beforedelivery, Party A agrees to discuss with Carrier and clarify theduties, and the Party with failure should be responsible for theloss caused. For the missing goods, shortage, damage, destruction,damp and wrong distribution after delivery, Party B agrees to bearall possible loss arising.
3.5乙方應在其海關監(jiān)管倉庫配備必需的裝卸設備和人力，以保證貨物在運達后及時完成卸貨工作。
Party Bshould arrange enough equipments and manpower to guarantee thatbreakdown is done timely after goods arrive at Party B’s Customsbonded warehouse.
3.6進入乙方倉庫的進港貨物，乙方應嚴格按照航空貨運單上列明的收貨人，及時通知收貨人提??；乙方不得以任何理由積壓貨物并以此向收貨人收取不正當費用，由此引起的一切后果由乙方承擔。
For the inbound goods arrived at Party B’s warehouse, Party Bshould timely inform the consignee to do the pickup strictlyaccording to the name listed as consignee on AWB. Party B cannotmake goods overstocked and charge consignees unlawfully by anyreasons. Otherwise Party B will be responsible for allconsequences.
3.7乙方如發(fā)現(xiàn)有甲方錯分貨物時，乙方應盡快將貨物退還甲方倉庫，不得以任何理由拖延。
If Party Bfound any goods mistaken delivered by Party A, Party B shouldreturn the goods ASAP and cannot delay with any reason.
四．費用結算ARTICLE 4 Settlement
4.1甲方憑雙方簽字的貨物交接清單統(tǒng)計出每月的進出港貨物公斤數(shù)，雙方同意按以下費率以人民幣結算費用：
Party A should calculate total kgs (outbound & inbound) permonth according to the Delivery List with signatures from twosides, and both parties agree to settle at below rate inRMB:
附件1：Attachment 1
甲方按要求提供的其他服務則根據(jù)其最新的服務收費表（見附件）收取。甲方有權在公示一個月后對附件價格表中所列項目進行修改。
Otherservices will be charged in accordance with the latest Charge List(See attachment) of Party A. Party A has the right to modify theitems and prices in the Charge List after one-monthpublication.
4.2雙方同意按月結算費用，甲方在月初5個工作日內將應收帳單交乙方，乙方收到帳單確認無誤后應在7日內結清費用，費用結算方式可以采取現(xiàn)金、支票、貸記憑證等方式。
銀行帳號為：
1)發(fā)票由上海浦東國際機場貨運站有限公司出具，匯款至上海浦東發(fā)展銀行空港支行；
2)發(fā)票由上海浦東國際機場西區(qū)公共貨運站有限公司出具，匯款至上海浦東發(fā)展銀行空港支行。
Both partiesagree that Party A should issue the invoice in the first 5 workingdays of each month. After receive invoice and make sure no problemwith invoiced items, Party B should pay within 7 days by cash,cheque, credit transfer and so on. The Accounts are asfollowing:
a) Forinvoice issued by Shanghai Pudong International Airport CargoTerminal Co., Ltd., please pay to Shanghai Pudong Development BankShanghai Konggang Sub-Branch, Account ;
b) Forinvoice issued by Shanghai Pudong International Airport PublicCargo Terminal Co., LTD (WEST), please pay to Shanghai PudongDevelopment Bank Shanghai Konggang Sub-Branch, Account .
4.3如乙方無故未在規(guī)定的結算期內付款，甲方有權以逾期付款總額的0.5%按天收取滯納金。拖延付款達二個月的，甲方有權取消乙方月結帳資格，并保留采取其他相應措施的權力。
If Party Bdelays the settlement without any reasons, Party A has the right tocharge Party B the overdue fine by 0.5 Percent per day. If thisdelay lasts up to 2 months, Party A will deprive Party B ofqualification of month-settlement and reserve the right to takeother appropriate measures.
五．不可抗力ARTICLE 5 Force Majeure
如遇戰(zhàn)爭、罷工、火災、傳染病、國內動亂、政府或當?shù)貙崣嗳耸康男袨榧捌渌麉f(xié)議雙方均不可控制的情況等不可抗力事件，遭到不可抗力的一方須在事情發(fā)生24小時內通知另一方，任何一方不得要求另一方履行本協(xié)議中規(guī)定的義務。
In case thatsome force majeure, such as war, strike, conflagration, Infectiousdisease, domestic turmoil, actions of government or real powerfulpersonage locally, is coming forth, any Party undertaking the forcemajeure should inform the other party within 24 hours and not askits counterparty to perform the duties regulated in thisAgreement.
六．有效期限ARTICLE 6 Valid Terms
本協(xié)議的有效期限為1年，即自本協(xié)議生效之日起起算至年月日止。在本協(xié)議有效期限屆滿之前的三個月內，雙方都沒有書面通知另一方終止本協(xié)議的，本協(xié)議自動順延。
The validterm of this agreement is 1 year from the date of Effectiveness to.At least 90 days prior to termination of valid term, if bothParties won’t provide the other party prior written notice fortermination, the Agreement will automatically beextended.
如果乙方連續(xù)6個月在甲方貨站內沒有進出港業(yè)務，本合同自動失效；乙方必須到甲方重新申請并簽訂協(xié)議才能重新開展業(yè)務。
If Party Bdoesn’t have import/export goods in succession for six months, thiscontract will be invalid automatically. Party B must apply to PartyA again and resign the contract to reopen its business.
七．生效ARTICLE 7 Effectiveness
本協(xié)議由雙方的法定代表人或委托代理人簽字、單位蓋章，自 年 月 日起生效。
This contract is effectivefromafterLegal Representatives or Authorized Representatives from twoparties sign and seal this agreement.
八．協(xié)議未盡事宜由雙方協(xié)商，妥善解決。本合同正本采用中英文兩種文字混合，一式2份，雙方各執(zhí)1份，兩種文字具有同等法律效力。兩種文字如有不符，以中文文本為準。
Any matters not stipulated in theAgreement shall be settled after negotiation between Party A andParty B. This Agreement is executed in 2 (two) originals (mixtureof English and Chinese), 1 (one) for each Party. The two languageshave the same legal effects, and Chinese version will prevail ifany conflicts existing between two language contents.

月結保證金協(xié)議
Agreement on Deposit of Monthly Settlement
（國際航空運輸進出港貨物交接及費用結算協(xié)議之補充協(xié)議）
(Supplement to Agreement on Handover and Settlement ofIntl. Goods)
根據(jù)甲乙雙方自愿友好協(xié)商原則，就原簽署的“國際航空運輸進出港貨物交接及費用結算協(xié)議”中未盡事宜，做如下補充：
Formatters not regulated in Agreement on Handover and Settlement ofIntl. Goods, the following contents are made and agreed by bothparties based on friendly negotiation:
1.乙方同意向甲方支付月結保證金，作為月結信用擔保。
Party Bagrees to pay deposit for monthly settlement as creditguarantee.
2.甲方根據(jù)乙方在甲方經(jīng)營場所單月貨物操作量高峰值應付賬款，另加20%的余量， 向乙方收取元（大寫金額）人民幣作為月結保證金，最低限額伍萬元人民幣。
Depositamount to be paid by Party B to Party A will be the highest monthlypayment plus 20% extra. So total deposit is RMB, minimumamount RMB50000.
3.乙方可采取現(xiàn)金、支票、貸記憑證等方式向甲方支付月結保證金。甲方在收到保證金后，應在7個工作日內向乙方出具上海浦東國際機場貨運站有限公司月結保證金收據(jù)，銀行匯款帳號：上海浦東發(fā)展銀行空港支行076389 – 4135002616。
Party Bcan pay deposit by cash, check and credit voucher. Upon acceptanceof deposit Party A should issue receipt within seven workingdays.
PartyA’s bank information: Shanghai Pudong Development Bank ShanghaiKonggang Sub-Branch, Account No.: 076389 – 4135002616
4.乙方在經(jīng)營過程中，如果拖欠甲方應收賬款，逾期一個月的，甲方有權從其保證金中扣除乙方該月應付的金額，乙方需在一個月內補齊保證金，逾期不交的，甲方有權取消乙方月結資格，對乙方采用現(xiàn)金結算或其他相應措施。
If PartyB fails to pay Party A Receivables more than one month, Party A hasthe right to deduct the corresponding amount from Party B’sdeposit. Party B should supply the deducted amount within 30 days,otherwise Party A can cancel Party B’s monthly settlementqualification and ask Party B to pay cash or take othermeasures.
5.乙方支付保證金后，在經(jīng)營過程中，如果乙方在甲方經(jīng)營場所的貨運量發(fā)生明顯變化，原有保證金不能滿足一個月的實際應付賬款額度，甲方有權根據(jù)乙方貨物操作量，對月結保證金額度做相應調整。
If PartyB cargo volume operated via Party A’s site has obvious increase andthe original deposit can not cover one month payment, Party Ashould have the right to adjust Party B’s depositamount.
6.乙方不負責保證金在甲方存續(xù)期間的利息盈虧。雙方合同終止后，乙方有權憑借甲方出具的原始收據(jù)憑證及乙方蓋有公章的退款申請辦理月結保證金本金退還手續(xù)。
Party Bis not responsible for profit and loss of deposit during custodyperiod. After agreement termination, Party B has the right towithdraw deposit corpus by providing the original receipt issued byParty A and deposit withdraw application with PartyB’s company chop
7.本協(xié)議作為“國際航空運輸進出港貨物交接及費用結算協(xié)議”的補充，與原協(xié)議具有同等法律效力。
Assupplement to Agreement on Handover and Settlement of Intl. Goods,this contract has the same legal effects.
8.雙方的法定代表人或委托代理人簽字、單位蓋章，自雙方簽字確認后生效。
Thiscontract will be effective and executed after Legal Representativesor Authorized Representatives from two parties sign and seal thisagreement.
9.本協(xié)議正本采用中英文兩種文字混合，一式2份，雙方各執(zhí)1份，兩種文字具有同等法律效力。兩種文字如有不符，以中文文本為準。
ThisAgreement is executed in 2 (two) originals (mixture of English andChinese), 1 (one) for each Party. The two languages have the samelegal effects, and Chinese version will prevail if any conflictsexisting between two language contents.
